Agreement to Terms

By accessing and using ForgeWorx's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Services Description

ForgeWorx provides digital development services including but not limited to:

  • Web application development
  • Backend system development
  • Custom software solutions
  • Technical consulting
  • System integration services

Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for project completion
  • Respond to requests for feedback and approvals in a timely manner
  • Make payments according to agreed terms
  • Respect intellectual property rights
  • Use our services in compliance with applicable laws

Payment Terms

Payment terms will be specified in individual project agreements. Generally:

  • Invoices are due within 30 days of receipt
  • Late payments may incur additional fees
  • Work may be suspended for overdue accounts
  • All prices are in USD unless otherwise specified

Intellectual Property

Upon full payment, clients receive ownership of custom-developed code and assets created specifically for their project. However:

  • ForgeWorx retains rights to general methodologies and know-how
  • Third-party components remain subject to their respective licenses
  • ForgeWorx may use project experience for portfolio and marketing purposes

Warranties and Disclaimers

We provide our services "as is" and make no warranties, express or implied, regarding:

  • Uninterrupted or error-free operation
  • Compatibility with all systems or browsers
  • Achievement of specific business outcomes
  • Security against all possible threats

Limitation of Liability

ForgeWorx's liability for any claim related to our services shall not exceed the total amount paid by the client for the specific project in question. We shall not be liable for indirect, incidental, or consequential damages.

Termination

Either party may terminate a project agreement with written notice. Upon termination:

  • Client pays for work completed to date
  • ForgeWorx delivers completed work products
  • Both parties return confidential information

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
